Definitions

“Paperclip” means the templates, instructions, setup guides, Apps Script code, and related materials you download or access.

“Paid Pack” means the paid bundle (templates, docs, GPT instructions, branding assets, updates as offered).

“Marketing Site” means getpaperclip.ai, shop.getpaperclip.ai, setup pages, and related web properties.

“You” means the end user who purchases, downloads, or uses Paperclip.

Scope & Role

Marketing Site: We act as the controller of site data as described in the Privacy Policy.

Product (Connector): You deploy and run the Google Apps Script in your own Google account. Paperclip does not receive or host your document/sheet content and generally does not act as your processor.

Licence (Paid Pack)

We grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Paid Pack for your own personal use.

Prohibited: redistribution, resale, sublicensing, repackaging, public posting/sharing, hosting for others, training ML models, or creating derivative products for distribution or commercial exploitation (in whole or in part).

Modifications: You may make personal modifications for your own use but may not distribute modified versions.

We (or our licensors) retain all rights, title, and interest in and to Paperclip, including all IP rights.

Acceptable Use

You agree not to:

• bypass or attempt to bypass security/authentication in the Apps Script or any services;
• send malicious code, excessive requests, or content that infringes third-party rights;
• use Paperclip in violation of law or to process sensitive data where prohibited;
• misrepresent affiliation with Google or OpenAI.

Third-Party Services

Paperclip interoperates with Google, OpenAI, Netlify, Gumroad/Shopify, and others. Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party services.

Orders, Delivery & Payments

If you purchase via Gumroad/Shopify, you authorise the payment processor to charge your selected method. We may receive limited order metadata (e.g., name, email, order ID) for fulfilment/support; we do not receive or store full payment card data.

Refunds

All sales are final unless required by applicable law (including the ACL). Where the ACL applies, you may be entitled to a remedy for a major failure. Nothing here limits your non-excludable rights.

Support & Updates

Paperclip is provided as a self-service kit. We may, at our discretion, release updates or improvements. We have no obligation to provide maintenance, feature development, or free support. Paid setup/consulting may be offered separately.

Security & Deployment

You are responsible for secure deployment and operation of the Apps Script (e.g., access settings, API key secrecy, collaborator permissions). Follow the security checklist and documentation. We do not control your Google account, script, or files.

Availability & Changes

Paperclip may change over time. We may modify or discontinue features, impose limits, or update these Terms. Changes take effect upon posting the updated Terms with a new “Last updated” date.

Termination

We may suspend or terminate your licence immediately if you breach these Terms (e.g., redistribution, commercial exploitation, security abuse). On termination, your licence ends and you must stop using and delete the Paid Pack and any copies, except as required by law.

Disclaimers

Paperclip is provided “as is” and “as available”. We disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, our aggregate liability for all claims relating to the Paid Pack or these Terms is limited to the amount you paid for the Paid Pack in the 12 months prior to the event giving rise to the claim. This cap does not apply to liability that cannot be limited under the ACL.

Indemnity

You agree to indemnify and hold harmless the Paperclip creators and distributors from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of Paperclip, violation of law, or breach of these Terms.

Export & Sanctions

You must comply with all applicable export control, sanctions, and embargo laws and may not use or provide Paperclip in restricted countries or to restricted parties.

Governing Law & Venue

These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the exclusive jurisdiction of the courts of New South Wales (and any courts competent to hear appeals from those courts).

Severability & Waiver

If any provision is found unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver.
